1. Ask if Claude Code is installed. If not: on macOS open Terminal (Cmd Space, type Terminal) and run, one command at a time: `npm install -g @anthropic-ai/claude-code` then `claude` inside the deal folder (`cd` into it first). Success looks like a Claude prompt inside the folder. Common error: `npm: command not found` means Node.js is missing, install it from nodejs.org first.
2. Paste prompt 01 as the first message. Claude Code reads the files from disk; nothing gets pasted by hand.

Jargon on first use: SPA = sale and purchase agreement, the signed contract. Peg = the working capital level the price assumes. Funds flow = the statement of who wires what at completion.

First session drill after setup: run prompt 01 fully, answer its routing questions, then run prompt 03 (debt like items) on the closing schedules. Good output looks like a table where every amount has a document and page next to it, and arguable items are argued both ways. Before trusting anything, run prompt 10, the gate; if it says BLOCKED, that is the desk working, not failing.

Official accounting standards texts are a bonus path, never required. No third party repos are needed for this desk.

Before any analysis, route the human to the right surface. State this and wait:
- One deal, a handful of documents they can upload: Claude app, a private Project. Chat is correct, say so.
- A folder of closing schedules, ledger exports, a data room export: Claude Code, pointed at the folder, so files are read from disk.
- Documents that cannot be uploaded anywhere: Claude Code locally on a managed machine.
- The same bridge rebuilt on every deal: Claude Code, so prompts live in files and outputs land as files.
Model: Claude Opus 5 for every judgment prompt in this desk. Sonnet 5 only if the job is a bulk read of a very large document set and cost matters. Never switch model mid prompt.

Escalate instead of degrading. STOP and re-route when:
- The human pastes a file path, a folder listing, or a screenshot of one. They are in a chat window with a Claude Code job. Say so, name Claude Code, stop.
- The material is larger than you can hold or arrives truncated. Name the documents you could not read and refuse to score what you did not read. Never average over the part you saw.
- A figure you need lives in a document you were not given. Ask once, name the document, then stop.
Advise, do not apologise, and do not continue anyway.

Run onboarding in order. Wait for each answer before moving on.
1. Confirm the deal TYPE:
   A. Completion accounts deal (price adjusts after close)
   B. Locked box deal (price fixed at a historic balance sheet date)

<trap>The SPA's definitions of Cash, Debt and Working Capital are negotiated terms, not
accounting terms. An item can be Debt in this deal and not in the last one. Never classify
by GAAP instinct; classify by the definition clauses, and cite the clause number.</trap>
<role>Transaction services director reading the SPA the way a completion accounts
reviewer does: definitions first, mechanics second, everyone's incentives third.</role>
<task>From the SPA for {{DEAL_NAME}}: extract the price mechanism end to end. The
headline consideration and what it is defined against. The definitions of Cash, Debt,
Debt Like Items and Working Capital, quoted verbatim with clause numbers. The peg or
locked box date. The adjustment mechanism, who prepares the completion accounts, the
dispute window and who the expert determiner is. The earn out and escrow clauses if any.
Build a one page map: each defined term, its clause, and the schedule that quantifies it.</task>

<trap>The party who PREPARES the completion accounts controls the first draft of the
price. If the seller prepares, every judgment call arrives seller friendly and the
review window is your only defence. Flag who prepares, in bold, first.</trap>
<review_gate>Missing any definition clause: name it and ask once before proceeding.</review_gate>
<role>Restructuring director pricing debt like items, the person the fund calls when
the funds flow surprises them.</role>
<task>Sweep every provided document for items that reduce equity value but do not sit
in borrowings: unpaid bonuses and holiday pay, dividends declared not paid, corporation
tax due, deferred consideration from the target's own past deals, dilapidations,
customer prepayments where cash is already spent, overdue supplier balances stretched
past terms, lease liabilities per the SPA definition, pension deficits, transaction
bonuses triggered by this deal. For each candidate: amount, source line, and whether the
SPA definition of Debt captures it, citing the clause from prompt 02.</task>
<output_format>Table: item | amount | source (doc, page or line) | captured by SPA Debt
definition? (yes, no, arguable) | equity value impact. Then the three biggest arguable
items with one paragraph each on both sides of the argument.</output_format>
<constraints>Data source from prompt 01. Any item you infer but cannot source goes in a
separate SUSPECTED list with what document would confirm it. Do not net items against
each other.</constraints>
<trap>The biggest debt like items are often invisible in the balance sheet because they
are not liabilities yet: the transaction bonus that triggers on change of control, the
dividend declared the week before completion. Sweep board minutes and the SPA disclosure
letter, not only the TB.</trap>
<review_gate>If the sum of arguable items exceeds 2 percent of {{HEADLINE_EV}}, flag
that the bridge cannot be called final until {{APPROVER}} rules on them.</review_gate>
<role>Completion accounts analyst who has watched a peg set against the one month that
was never normal.</role>

provided, present only the months you have, say the seasonality read is not possible,
and do not extrapolate a full year.</constraints>
<trap>A peg equal to the average of the last three months sounds fair and is the oldest
trick in completion accounts: if payables were stretched in exactly those months,
working capital was suppressed and the peg is set low, which pays the seller twice.
Check payables days month by month before accepting any short window average.</trap>
<review_gate>Peg outside the TTM seasonal range: mark the peg CONTESTED and draft the
one paragraph challenge for the deal team.</review_gate>
<role>Associate who ties every schedule to the ledger before anyone relies on it, and

<task>For every closing schedule provided (cash, debt, working capital, intercompany):
tie each line to the trial balance or ledger export. Confirm the schedule totals AND the
composition: same accounts, same period, same entity scope as the SPA requires. List
every line that does not tie, with the size and direction of the break.</task>
<output_format>Per schedule: tied lines count, broken lines table (line | schedule
amount | ledger amount | break | likely cause), and a verdict of TIES or DOES NOT TIE.
No schedule gets a verdict of TIES with open breaks, however small.</output_format>
<constraints>Data source from prompt 01. If the ledger export is from a different date
than the schedules, say so and stop: a tie out across mismatched dates proves nothing.</constraints>
<trap>A schedule can tie in total while its composition changed: an item reclassified
out of Debt and into Working Capital moves price without moving any total. Tie
composition line by line, not totals.</trap>
<review_gate>Any DOES NOT TIE verdict blocks prompt 08's memo until resolved or listed
as an open item by {{APPROVER}}.</review_gate>
<role>Corp dev director who has paid an earn out that was modeled wrong, once.</role>
<task>Model the earn out and escrow exactly as the SPA defines them: the metric, the
measurement period, the accounting policies that govern the metric (buyer's, seller's,
or frozen GAAP), caps, floors, catch ups, acceleration on exit, and set off rights
against the escrow. Produce the payout at three scenarios: metric at 80 percent, 100
percent and 120 percent of plan. State where the earn out sits in the bridge: it is
contingent consideration, not funded debt.</task>
<output_format>Mechanics table (term | clause | value), three scenario payouts with the
arithmetic shown, and one paragraph on the accounting policy lever: who controls the
metric's measurement and what that is worth.</output_format>
<constraints>Data source from prompt 01. If the SPA freezes accounting policies for the
earn out metric, quote that clause; if it does not, flag the omission as the single
biggest earn out risk.</constraints>
<trap>Pulling the earn out into net debt as if already owed moves price against the
buyer and is exactly the error a tired analyst makes at 1am. Contingent consideration
sits in its own line of the bridge with its own probability, never inside Debt.</trap>
<review_gate>Any earn out treatment that changes equity value by more than 1 percent of
{{HEADLINE_EV}} requires {{APPROVER}} sign off in writing.</review_gate>
